1. Introduction and acceptance

Welcome to the website of Above-IT International Technologies Ltd. ("Rebates-On," "we," "us," or "our"), available at rebates-on.com (the "Website"). These Terms of Use ("Terms") govern your access to and use of the Website and its content.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. Please read these Terms together with our Privacy Policy.

These Terms govern the Website only. Access to and use of the Rebates-On platform and services (the "Service") is governed by the separate subscription agreement entered into between Rebates-On and your organization (the "Subscription Agreement"). If there is any conflict between these Terms and your Subscription Agreement regarding the Service, the Subscription Agreement controls.

2. Definitions

• "Content" - all text, data, information, software, graphics, logos, images, video and other materials made available on the Website.
• "You" / "User" - any person who accesses the Website, whether or not a Rebates-On customer.
• "Service" - the Rebates-On software platform, provided under a Subscription Agreement.

3. Eligibility

The Website is intended for business users and for individuals who are at least 18 years old (or the age of majority in their jurisdiction). The Website is not directed to children. By using the Website, you represent that you meet these requirements and that you are accessing it for business purposes.

4. License to use the Website

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Website and its Content for your internal business and informational purposes.

You may not, except as expressly permitted: copy, reproduce, modify, create derivative works from, publicly display, republish, distribute, sell, license, reverse engineer, or otherwise exploit the Website or its Content. You must retain all copyright and proprietary notices.

5. Acceptable use

You agree not to:

• use the Website in violation of any applicable law or regulation;
• access, tamper with, or use non-public areas of the Website or our systems without authorization;
• probe, scan, or test the vulnerability of the Website, or breach security or authentication measures;
• introduce malware, or interfere with or disrupt the Website's operation;
• scrape, harvest, or use automated means to extract data except as expressly permitted;
• misrepresent your identity or affiliation, or use the Website to send unsolicited communications.

We may investigate and take appropriate action, including restricting or terminating access, for any violation.

6. Accounts and security

Some areas of the Website (and the Service) require an account. You are responsible for providing accurate information, for safeguarding your credentials, and for all activity under your account. Notify us immediately at [email protected] if you suspect any unauthorized use or security breach. We may require a password change or restrict access where reasonably necessary. Account provisioning and use in connection with the Service are further governed by your Subscription Agreement.

7. Delegated vendor access

Delegated Vendor Access. Where you authorize the Service to connect to your vendor portals (including through credentials, tokens, or API integrations), you grant Rebates-On the authority to access, retrieve, process, and analyze the data contained in such portals on your behalf and for your internal business purposes. You acknowledge that certain vendors may restrict, discourage, or otherwise limit the use of automated tools or third-party access mechanisms, and that Rebates-On does not control such vendor policies and cannot guarantee uninterrupted access to any vendor system.

Rebates-On shall not be liable for any suspension, restriction, credential reset, access limitation, or other action taken by a vendor with respect to your portal account as a result of your use of the Service to aggregate or process your data. Except in cases of Rebates-On's gross negligence or willful misconduct, you agree to hold Rebates-On harmless and waive any claims, demands, or causes of action arising from any such vendor actions.

8. Intellectual property

The Website and its Content are owned by Rebates-On or its licensors and are protected by intellectual property laws. "Rebates-On," the Rebates-On logo, and related marks are trademarks of Above-IT International Technologies Ltd. Nothing in these Terms grants you any right to use them without our prior written consent. Third-party names, logos and vendor program names are the property of their respective owners and are used for identification only; their inclusion does not imply endorsement or affiliation.

9. Intellectual-property complaints

If you believe content on the Website infringes your copyright or trademark, please contact [email protected] with: a description of the work, the location of the allegedly infringing material, your contact details, and a statement of good-faith belief. We may remove allegedly infringing material and terminate repeat infringers.

10. User submissions

If the Website lets you submit feedback, comments, or other materials ("Submissions"), you are responsible for your Submissions and represent that: (a) you own or have the necessary rights to them; (b) they do not infringe any third party's rights or violate any law; and (c) they contain no confidential, personal, or unlawful, defamatory, or harmful content. You grant Rebates-On a non-exclusive, royalty-free, worldwide license to use Submissions for the purpose of operating and improving the Website and Service. We are not obligated to use, display, or retain any Submission and may remove them at our discretion.

11. Third-party links and content

The Website may link to third-party websites or resources, and may reference third-party vendor programs. We do not control and are not responsible for third-party content, products, or practices. Your use of third-party sites is at your own risk and subject to their terms.

12. Informational nature only; no reliance

The content available on the Website — including guides, glossary entries, vendor-program explanations, rebate illustrations, and any calculations or examples — is provided for general informational purposes only. Vendor programs, rules, eligibility criteria, payout structures, and tier requirements change frequently and are determined solely by the respective vendor. As a result, Website content may not reflect the most current vendor terms or program conditions.

You acknowledge that all Website content is illustrative in nature and must not be relied upon for making business, financial, compliance, operational, or strategic decisions. Any estimates, projections, or examples presented on the Website do not guarantee any specific rebate outcome, vendor approval, or program eligibility.

For clarity, the vendor remains the sole and final authority regarding all rebate determinations, eligibility decisions, payout calculations, tier standings, compliance assessments, fund expirations, and any other program-related outcomes. Nothing on the Website overrides, supplements, or modifies any vendor decision or vendor-published rule.

13. Disclaimers

To the maximum extent permitted by applicable law, the Website is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be uninterrupted, secure, timely, or error-free. Warranties for the Service are addressed in the Subscription Agreement.

14. Limitation of liability

To the maximum extent permitted by applicable law:

(a) Rebates-On and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenues, goodwill, or data, arising out of or relating to your use of the Website; and

(b) Rebates-On's total aggregate liability arising out of or relating to your use of the Website will not exceed USD $100.

Nothing in this Section limits liability for Rebates-On's gross negligence or willful misconduct.

Liability relating to the Service (the paid platform) is governed by the Subscription Agreement, where the cap is typically the fees paid in the 12 months preceding the claim, with standard carve-outs.

Some jurisdictions do not allow certain exclusions or limitations; in those cases the above applies to the maximum extent permitted, and certain limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Rebates-On and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Submissions, or your misuse of the Website, to the extent permitted by applicable law.

16. Term, suspension, and termination

We may modify, suspend, or discontinue the Website (or any part of it) at any time. We may restrict or terminate your access to the Website if you violate these Terms. Termination of the Service is governed by your Subscription Agreement. Provisions that by their nature should survive termination (including IP, disclaimers, limitation of liability, and governing law) will survive.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. The competent courts located in Tel Aviv–Jaffa, Israel will have exclusive jurisdiction, and you consent to that jurisdiction and venue.

18. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest version. Material changes will be communicated by posting a notice on the Website or by email where appropriate. Your continued use of the Website after changes take effect constitutes acceptance. We recommend reviewing these Terms periodically.

19. Miscellaneous

These Terms (together with the Privacy Policy and, for the Service, the Subscription Agreement) are the entire agreement between you and Rebates-On regarding the Website. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing creates any agency, partnership, or joint venture.
